Supernus and Indivior to Merge, Creating Diversified CNS Biopharma Company

The move forges a combined commercial portfolio of 11 medicines in psychiatry, neurology, and addiction.

Supernus Pharmaceuticals and Indivior Pharmaceuticals are merging, creating a diversified central nervous system (CNS) biopharmaceutical company with “significant” scale. The combined entity will continue to operate under the Supernus name.

Both parties say they expect to generate significant value for stockholders, realizing $125 million in anticipated annual cost synergies. Overall, the combined company may generate pro forma net revenue of up to $2.2 billion.

Supernus and Indivior Portfolio

The diversified, scaled commercial portfolio brought together by Supernus and Indivior boasts 11 medicines.

For Supernus, this includes approved treatments such as for attention-deficit hyperactivity disorder, or dyskinesia in Parkinson’s disease patients receiving levodopa. Other concentrations include postpartum depression, epilepsy, migraine, cervical dystonia, and chronic sialorrhea.

Indivior, meanwhile, is recognized as a leader in long-acting injectable treatments for opioid use disorder.

Key growth products on both sides, in psychiatry, neurology, and addiction, are mutually expected to continue growing into the 2030s.

Personnel to Merge As Well

Jack Khattar, Supernus President and CEO, will be President, CEO, and on the Board of Directors of the combined company. Tony Kingsley, a member of Indivior’s Board of Directors, will be the new company’s Board Chair.

In addition, experienced teams with successful track records on both sides will be uniting to address significant unmet medical needs.

“This brings together two complementary organizations with a shared vision of improving lives of people with CNS diseases,” Khattar said. “We are well positioned to drive significant, durable growth across our diversified portfolio of medicines. This transaction also provides us with greater financial flexibility to pursue growth initiatives to potentially accelerate value creation for stockholders.”

Pending regulatory and stockholder approvals, Supernus and Indivior expect the merger to close in the fourth quarter of 2026.
